Know the instrument before calculating the duty.

Stamp duty, registration and tax treatment depend on the legal document, transaction structure, consideration, rights transferred and current law. Do not use one percentage for every development deal.

Land purchase / sale deed

Transfer of ownership. Requires title due diligence, agreed consideration, duty / registration analysis and mutation / record follow-up.

Development Agreement / JDA

Creates development rights and commercial obligations without necessarily following the same structure as outright land purchase.

Power of Attorney

Authority document supporting defined acts. Its scope, relationship to the main agreement and stamp / registration treatment require legal review.

Society Development Agreement

Defines developer rights and Society/member protections, timelines, benefits, guarantees, approvals, default and termination.

PAAA / member agreement

Documents the member's permanent alternate accommodation and project-specific entitlements / obligations.

Agreement for Sale / conveyance

Buyer-sale documentation and final property / society title transfer must be planned into the project closure.

Before signing

Ask these five questions.

These questions prevent a “cheap duty calculation” from becoming an expensive legal problem.

What exact right is being transferred or created?
Ownership, development right, authority to act, possession, sale right or a combination?

Who are all required parties?
Landowner, Society, members, developer, confirming parties, lender or authority?

What is the consideration / sharing mechanism?
Cash, area share, revenue share, rehab obligations or mixed consideration?

Does the instrument require registration?
Take current advice before execution; do not rely on a previous project.

5

What tax / accounting follows the instrument?
Coordinate legal drafting with the CA / tax advisor before signing.
